Article C- Board of Directors (continued)

Section 5. Vacancies.
In the event of a vacancy on the Board of Directors, including of those serving as Officers, the remaining Directors, by majority vote, shall elect a replacement Director, and Officer, if applicable.

Section 6. Compensation.
No compensation shall be paid to the Board of Directors for their services as such, but the Directors may be reimbursed for travel and actual expenses necessarily incurred by them in attending Board meetings and performing other official duties on behalf of the Association at the direction of the Board, if such reimbursement is authorized, in advance, by the Executive Committee.

Section 7. Responsibilities.
The Board of Directors will formulate the policies of the Association and will direct its activities through the Executive Committee. Each Director of the Board of Directors shall have the authority to delegate the functions of his or her office to paid or unpaid persons, with the approval of the Board of Directors.
